Website Terms of Use – JT Engineering Models 

This Terms of Use Agreement applies to your usage of the JT Engineering Models Website (“Site”). This Site is the copyrighted work belonging to and operated by JT Engineering Models LLC, a Utah limited liability company, its affiliates, agents, subsidiaries and assigns (collectively, “JT”).

Through this Site, JT provides you with access to various resources about JT and the services and products provided by JT. By accessing and using this Site, you acknowledge and accept the following terms of use (“Terms of Use”). These Terms of Use and this Site are subject to change by JT at any time in its sole discretion, and your continued use of the Site following modification constitutes your agreement to be bound by these Terms of Use. If you do not wish to be bound by these Terms of Use, you may not access or use this Site. Terms not defined herein shall have the same meaning as in the JT User Agreement and Privacy Policy, which are incorporated herein by reference for all purposes.

 

Authorization

You hereby certify to JT that if you are agreeing to these Terms of Use on behalf of a corporation or entity that you are duly authorized to bind such corporation or entity. In order to use our website and/or receive our services, you must be at least 18 years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms of Use as a binding agreement. If you are under this age, you must have your parent’s permission to access this Site and our Services. You are not allowed to use this website and/or receive services if doing so is prohibited in your country or under any law or regulation applicable to you. JT may permanently or temporarily terminate or suspend your access to the Site without notice and liability for any reason, including if in JT’s sole determination you violate any provision of these Terms of Use or any applicable law, rule, or regulation. You may discontinue use and request to cancel your account and/or any services at any time. 

 

Use of Site Content

You may not copy, modify, distribute, redistribute, upload, transmit, display, reproduce, transfer, post, resell, or republish any of the contents available on this Site, including, but not limited to, text, graphics, logos, images, and audio clips (collectively, “Content”) without the prior written consent of JT, which may be withheld in its sole discretion. All Content is the sole property of JT and is protected by United States and international copyright laws.

 

Accurate Information

You will provide accurate and current information on all registration forms on this Site. You will not impersonate any person or entity, misrepresent your affiliation with a person or entity, misrepresent the origin of any content distributed through this Site or create a false identity for the purpose of misleading others. Without limiting the foregoing, you may not use invalid or forged headers, invalid or non-existent domain names, or other means of deceptive addressing.

 

Other Prohibited Activity

In using this Site, you must not:

  • post, send, or otherwise transmit to or through the Site any unlawful, infringing, harmful, harassing, defamatory threatening, or otherwise objectionable material of any kind, any material that exploits children or is invasive of or in breach of another person’s privacy or other rights, or any material that JT in its sole discretion does not wish posted or transmitted on the Site;

  • upload or otherwise make available, files that contain images, software, or other material protected by intellectual property laws, including, without limitation, copyright or trademark laws and rights of publicity and privacy unless you own or control the rights thereto or have received all necessary authorizations to do the same;

  • violate any applicable laws or regulations; 

  • Engage in fraudulent conduct, including, without limitation, (1) conducting fraudulent business operations and practices; (2) offering or disseminating fraudulent goods, services, schemes, or promotions (e.g., make-money-fast schemes, chain letters, and pyramid schemes); and (3) individual or business representation as an authorized 3rd party affiliation or agent for a business entity (e.g., JT) without the business’ prior consent.

  • assist or permit any persons in engaging in any of the activities described above.

 

Privacy

JT’s collection and use of information is governed by its privacy policy, available at Privacy Policy.

 

Links to Third-Party Sites

JT may provide links to other Sites or resources on this Site. JT does not control these other Sites and resources and is not responsible for their availability, content, or delivery of services. JT makes no representations whatsoever about such other Sites or resources. The inclusion of any link to a Site does not imply endorsement by JT of the Site or its entities, products, or services. All warranties, conditions, or other terms express or implied as to any such linked Site, including, without limitation, as to the accuracy, ownership, validity, or legality of any content of a linked Site, are hereby excluded. It is your sole responsibility to take any precautions to ensure that whatever you select for your use is free of items such as viruses, worms, Trojan horses, and other items of a destructive nature. Some of these links may be affiliate links from which JT may receive a commission, but any commission will not affect the price paid by you.

 

Disclaimer of Warranties / Limitation on Liability

YOUR ACCESS OR USE OF THE SITE IS AT YOUR SOLE RISK AND ALL INFORMATION CONTAINED ON THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” JT AND ITS OFFICERS, DIRECTORS, PARTNERS, REPRESENTATIVES, EMPLOYEES, AND AGENTS (COLLECTIVELY, “JT” IN THIS SECTION) MAKE NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE SITE, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, OR FITNESS FOR A PARTICULAR PURPOSE OR USE.

JT (a) does not warrant that the Site is compatible with your equipment or that the Site, or e-mail sent by JT, is free of errors or viruses, worms or “Trojan horses,” or any other harmful, invasive, or corrupted files, and (b) is not liable for any damage you may suffer as a result of such destructive features. JT will have no responsibility or liability for (i) any injury or damages caused by the negligence of JT in connection with the Site, or any claim against JT, or (ii) any fault, inaccuracy, omission, delay, or any other failure in the Site caused by your computer equipment or arising from your access or use of the Site on such equipment.

The content of other Sites, services, goods, or advertisements that may be linked to or from the Site is not maintained or controlled by JT. JT is therefore not responsible for the availability, content, or accuracy of other Sites, services, goods, or advertisements that may be linked to or from the Site.

THE LIMITATION OF LIABLITY STATED IN THIS SECTION SHALL NOT APPLY FOR ANY LOSSES OR LIABILITY ARISING ON JT’S PART DUE TO GROSS NEGLIGENCE, FRAUD, OR WILFUL MISCONDUCT OF JT. IN NO EVENT SHALL JT BE LIABLE FOR ANY DAMAGE UNLESS JT HAS BEEN SERVED A WRITTEN NOTICE OF DEFAULT, SETTING OUT THE DEFAULT IN DETAIL, AND ALLOWING JT A REASONABLE REMEDY TERM OF AT LEAST THREE (3) WEEKS TO REMEDY THE DEFAULT, AND JT HAS NOT REMEDIED THE DEFAULT WITHIN SUCH TERM. 

 

Indemnification

You will indemnify, defend, and hold harmless JT and its partners, representatives, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with your access or use of the Site, or any links on the Site, including, but not limited to: (a) any breach or violation of the Terms by you or someone using your computer, username, or password; (b) your use or use by someone using your computer, username, or password of the Site; (c) a claim that any use of the Site by you or someone using your computer, username, or password infringes any intellectual property right of any third party or otherwise results in injury or damage to any third party; (d) any deletions, additions, insertions, or alterations to, or any unauthorized use of, the Site by you or someone using your computer, username, or password; or (e) a claim arising out of or in connection with User Content you post. You will pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys’ fees and costs awarded against or otherwise incurred by or in connection with or arising from any such claim, suit, action, or proceeding attributable to any such claim. JT reserves the right, at JT’s expense, to assume the exclusive defense and control of such disputes, and in any event, you will cooperate with JT in asserting any available defenses.

 

Governing Law

The Terms will be governed and construed in accordance with the laws of the State of Utah and any controlling federal law, without regard to the choice or conflicts of law provisions of any jurisdiction, and any disputes, actions, claims or causes of action arising out of or in connection with JT’s provision of and your access to or use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Summit County, Utah. You further will accept service of process by mail, and hereby waive any and all jurisdictional and venue defenses otherwise available.

 

Prices

The prices JT charges for its licenses, products, and/or services are listed on the Site. JT reserves the right to change prices at any time, and to correct pricing errors that may occur.

 

Change in Products

JT may at any time and without prior notice, change the licenses, products, and/or services; stop providing the licenses, products, and/or services or any features of the licenses, products, and/or services JT offers; or create limits for the licenses, products, and/or services. We may permanently or temporarily terminate or suspend access to the licenses, products, and/or services without notice and liability for any reason, or for no reason.

 

General

These Terms of Use (including JT’s Privacy Policy and other terms incorporated by reference) constitute the entire agreement between you and JT governing your access to and use of the Site. The failure or delay of JT to exercise or enforce any right or provision of the Terms of Use will not constitute a waiver of such right or provision. If any provision of the Terms of Use is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of the Terms of Use will remain in force. The obligations contained in the Terms that by their sense and context are intended to survive the performance of the Terms of Use by either or both parties will survive the termination, cancellation, expiration, or completion of the performance of the Terms of Use.
